GOVERNING LAW & JURISDICTIONS; CLASS ACTION WAIVER

Further, any claim, controversy, or dispute that arises between you and Lead Rhyno LLC or LR Affiliates must be resolved exclusively by a state or federal court located in the Commonwealth of Virginia. Each party irrevocably and unconditionally consents to submit to the exclusive jurisdiction and venue therein of the Circuit or District Courts of Fairfax County, Virginia and of the United States of America located in the Eastern District of Virginia, Alexandria Division, for any actions, suits or proceedings arising out of or relating to this Agreement and the transactions contemplated hereby and agrees that service of any process, summons, notice or document by U.S. certified mail to the address Lead Rhyno LLC has on file (in the case of process, summons, notice, or document delivered by Lead Rhyno LLC to you) or to Lead Rhyno LLC’s Registered Agent’s office address (in the case of your delivery of the same to Lead Rhyno LLC) will be effective service of process for any action, suit or proceeding brought against such party.
Subject to any applicable law, all disputes between you and Lead Rhyno LLC or LR Affiliates shall only be resolved on an individual basis and you shall not have the right to bring any claim against Lead Rhyno LLC or LR Affiliates as a plaintiff or member of a class, consolidated or representative actions (or any other legal proceedings conducted by a group or by representatives on behalf of others.)
